(the “Corporation”)

NOTICE OF SPECIAL MEETING OF MEMBERS (AGM)

            NOTICE IS HEREBY GIVEN that a special meeting of the Members of the Corporation will be held electronically, on the 7th day of November, 2020 at 11:30am and at any adjournment or adjournments thereof, for the following purpose:

  1. To receive and consider the financial statements of the Corporation for the fiscal year ended August 31, 2020 together with the report of the Accountant thereon;
  2. To elect Directors;
  3. To appoint an Auditor of the Corporation and to authorize the Directors to fix the remuneration of the Auditor;
  4. To consider and, if thought advisable, to pass, with or without amendment, a Special Resolution authorizing the Corporation to make an application to the Ontario Minister of Government Services for authorization to transfer to federal jurisdiction; and
  5. To transact such further or other business as may properly come before the meeting or any adjournment or adjournments thereof.

The following documents, as referred to in item 1 above, are will be posted to members-only side of the OMEA website when available:
Financial Statements: OMEA Year fiscal ended August 31, 2020
Proposed Budget OMEA Fiscal beginning September 1, 2020 as approved by the OMEA Board of Directors

The following documents, as referred to in item 4 above, are enclosed:

  • Appendix A – text of proposed Special Resolution; and
  • Appendix B – Application for Authorization to Transfer to Another Jurisdiction (Form 13).

SPECIAL RESOLUTION OF THE MEMBERS

OF

ONTARIO MUSIC EDUCATORS ASSOCIATION

 (the “Corporation”)

SPECIAL RESOLUTION OF THE MEMBERS

OF

ONTARIO MUSIC EDUCATORS ASSOCIATION, INC.
(the “Corporation”)

APPLICATION FOR AUTHORIZATION TO TRANSFER TO ANOTHER
JURISDICTION

WHEREAS the Corporation was incorporated under Part III of the Corporations Act
(Ontario) by Letters Patent dated the 30 day of May, 1985;
AND WHEREAS it is considered to be in the best interests of the Corporation that it
transfers from Ontario jurisdiction to federal jurisdiction and that it be continued under the
Canada Not-for-profit Corporations Act (“CNCA”) pursuant to section 211 of the CNCA;

NOW THEREFORE BE IT RESOLVED AS A SPECIAL RESOLUTION THAT:

1. The Corporation be and is hereby authorized and directed to make an application to the
Ontario Minister of Government Services for authorization to transfer to federal
jurisdiction pursuant to section 313 of the Corporations Act (Ontario);
2. The Application for Authorization to Transfer to Another Jurisdiction (Form 13
Corporations Act), which has been submitted to this meeting and is annexed hereto as
Schedule “1”, is approved;
3. Any one or more of the officers and directors of the Corporation is authorized to take all
such actions and execute and deliver all such documentation which are necessary or
desirable for the implementation of this resolution, including the annexed Application for
Authorization to Transfer to Another Jurisdiction, with such additions, deletions or other
changes as required by any provincial regulator.
